2. Services Description

Web Formations LLC provides professional Shopify development services including, but not limited to:

• Custom Shopify theme development and customization
• Shopify app development (public and private apps)
• Third-party service integrations and API development
• Store migration and optimization services
• Ongoing maintenance and technical support

3. Client Responsibilities

Clients engaging our services agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for information or feedback in a timely manner
• Maintain appropriate access credentials and permissions for their Shopify stores
• Make timely payments according to agreed-upon terms
• Maintain backup copies of their data and content

4. Payment Terms

All project pricing is quoted on a case-by-case basis and must be agreed upon before work begins. Payment terms will be specified in individual project proposals or contracts. Unless otherwise stated:

• An initial deposit may be required before project commencement
• Milestone payments may be required for larger projects
• Final payment is due upon project completion
• Late payments may incur additional fees

5. Intellectual Property Rights

Upon full payment, clients receive ownership of custom code and designs created specifically for their project. However:

• Web Formations retains rights to reusable code libraries, frameworks, and tools
• Third-party plugins, themes, or services remain under their original licenses
• Clients must respect all applicable software licenses and trademarks
• Web Formations may showcase completed work in portfolios unless otherwise agreed

6. Project Timeline and Delivery

Project timelines are estimates and may be affected by factors including client responsiveness, scope changes, and technical complexities. We will make reasonable efforts to meet agreed-upon deadlines but cannot guarantee specific delivery dates unless explicitly stated in writing.

7. Revisions and Changes

Project proposals typically include a specific number of revision rounds. Additional revisions or scope changes beyond the original agreement may incur additional fees. Major scope changes may require a new proposal and timeline.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However:

• Services are provided "as is" without warranties of any kind
• We do not guarantee specific business results or revenue increases
• Third-party service functionality is not under our control
• Clients are responsible for testing and acceptance of deliverables

9. Limitation of Liability

Web Formations LLC's liability shall not exceed the total amount paid by the client for the specific project giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages including loss of profits, data, or business opportunities.

10. Confidentiality

We will maintain the confidentiality of client information and will not disclose proprietary information to third parties without consent, except as required by law or necessary to perform services.

11. Termination

Either party may terminate a project agreement with written notice. Upon termination:

• Client must pay for all work completed to date
• Deposits are non-refundable
• Client receives deliverables completed up to termination date

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of New Mexico, United States. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Santa Fe, New Mexico.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services constitutes acceptance of modified terms.
